Fiat takes full ownership of Chrysler with an agreement reached in Jan. 2014 for the UAW trust fund's 41% stake in Chrysler. Under the terms of the $4.35 billion deal Fiat will pay the UAW retiree health fund $1.75 billion in cash, Chrysler will make a $1.9 billion contribution, and Chrysler will also pay the trust $700 million over 4 annual instalments. Under an agreement shaped by the Obama administration 58.5% stake went to Fiat and the remaining 41.5% to the UAW trust fund. Chrysler repaid government loans early with the success of the Jeep Grand Cherokee, Dodge Ram and Dodge Dart models, and the first quarterly profit in 2011. The $1.7 billion Fiat pays for Chrysler under this agreement bringing the total to $3.8 billion, shows the value of the management skills brought by Sergio Marchionne and persistent effort to turn things around at Chrysler since the 2008 financial crisis led to the bankruptcy of Chrysler. In comparison Daimler Benz paid $36 billion for Chrysler in 1998, and $7.4 billion was paid by private equity firm Cerberus Capital for an 80% stake in 2007. It is also a major achievement of the team of managers put together by Fiat's Sergio Marchionne. Chrysler is now the seventh largest car company close to Honda in size, with 4.5 million in global auto sales, according to OICA. Fiat-Chrysler is now a global company with sales worldwide....

The difficult task ahead for Fiat's Marchionne, trying to reverse Chrysler's decline. Running Opel and Fiat, will take a lot of energy and initiative, and its by no means clear how he is going to go about doing this. Some arithmetic done by analysts shows the value of the Fiat, Opel, Chrysler auto companies, by excluding other non-auto parts of Fiat, and taking out Fiat debt and liabilities estimated at $8 billion euros. And taking that number and Fiat's market cap, the difference gives a value of 5.5 billion euros as what investors ascribe to Fiat Auto and its ambitions. This is just one fourth of the Fiat auto units 2009 revenues of 21.7 billion euros, as estimated by Morgan Stanley.

The transformation of Fiat Auto. Marchionne relying on "my kids", getting good people throughout the Fiat global operations and outside of a younger generation, who were open to doing things in a new way. He had the courage to unassumingly go about the business of remaking Fiat, by removing middle and upper managers who produced a kind of paralysis or sclerosis in Fiat, making change impossible after years of a failed culture embedding itself. And in their place he brought in an energetic courageous bunch of younger managers and designers. It would be fair to say that he tore up the old plans, tore up the old organization charts, tore up the car plans and designs in the pipeline, tore up the failed models and put in place new ones- the Bravo for the Stilo, and tore up the old management, put in new people and tasks and wedded them in an informal way, with their own culture developing along the way. The were teams and their tasks, all wedded together in an informal arrangement, in close proximity, with informal communication. Marchionne saw his role as helping people reach decisions, setting stretch goals, and encouraging levels below him to take responsibility and make courageous decisions. He saw the Cinquicento as his version of the Apple iPod, and benchmarked Fiat against Apple, so he was looking outside the auto industry for people to emulate and for new ideas. The personality based governance under Carlos Ghosn is seen as a problem now that Mr. Ghosn is in a jail cell in Tokyo and under investigation by Japanese prosecutors. Mr. Ghosn faces charges that he under reported his deferred pay over a five year period to 2011.  The Economist magazine points out the other problems that might have led to to the authorites being informed about the failure of Nissan to make the internal audits. This relates to the activities  of Mr. Ghosn to arrange a possible takeover by Renault through a merger. Nissan owns only 15% non voting stake in Renault, and Renault by comparison owns a 43.4% ownership in Nissan. The French government has a 15% stake in Renault and efforts were made by Mr. Macron, as Economy minister, to secure double voting rights for long term shareholders such as the French government. This leaves the Japanese government and Nissan reluctant to see the move to Renault's takeover. The French government left with suspicions on the reasons for Mr. Ghosn's removal now less likely to cede control over the joint venture. The jet setting high flying ways of executives such as Mr. Ghosn with the company's identity being defined by their activities are also coming under much criticism. The CEO of Chrysler Mr. Marchionne was gravely ill at 66 following a decade of deal making, with chain smoking, leading to a severe illness. Renault under Ghosn rescued Nissan in 1999, Fiat under Marchionne rescued Chrysler in 2009 with U.S. government help. The Economist magazine points out the Nissan alliance with Renault is now tarnished by another high flying executive.   ...

Chrysler reported second quarter 2012 income of $436 million, compared with a loss of $370 million in the prior year quarter. The prior year quarter included charges for repaying U.S. government loans. First quarter 2012 income was $473 million. Fiat reported a loss of 246 million euros for the second quarter 2012. The combined operations Fiat-Chrysler reported aloss of 103 million euros. This shows how the effort by Sergio Marchionne to takeover Chrysler and turn it around have proved to be a very successful move for Fiat. With a relatively small investment Fiat is now a majority owner of Chrysler having invested mainly its management knowhow and leadership.

Sergio Marchionne, CEO of Fiat-Chrysler told a conference in Michigan -"these are people who did not grow up and become conditioned to doing business in Detroit. " He cited this as one reason the new generation of leaders at the U.S. auto companies had embraced the new fuel efficiency standards. Another point he made that was well received was that "anybody who surrenders 14 years before the date ought not to be in business." He was referring to the 2025 deadline for the new standards. This view was well accepted by the other auto companies and by the UAW workers union, showing the big change that has come about in the U.S. auto industry.

As U.S. carmakers vehicle sales recover and the Japanese carmakers go through a slowdown as a result of disruptions from the earthquake, the U.S. and the Japanese carmakers find their situations reversed. Japanese carmakers are facing vehicle shortages in the U.S.. Detroit carmakers see the opportunity to make gains in market share during this period, till Toyota and Honda return to normal. Detroit carmakers have also been affected by the earthquake related supplier disruptions, but to a much smaller extent. Chrysler expects to produce 50,000 to 100,000 fewer vehicles as a result of disruptions, according to Marchionne. Chrysler, the weakest of the Detroit carmakers, has staged a recovery under Fiat's Marchionne. One hurdle was the high interest payments- $348 million in the first quarter of 2011- on the $7.5 billion borrowed from U.S. and Canadian governments. Chrysler increased revenue by 35% to $13.1 billion, with global sales of vehicles up 18% to 394,000, and profits of $116 million in the first quarter 2011. The market situation is still precarious for several reasons. Sales of pickup trucks and larger vehicles- which still constitute a major portion of vehicles sales of Detroit carmakers- are vulnerable to higher gas prices. The Japanese carmakers have large cash reserves for new investments, and will introduce new models as they recover from the earthquake. In the past Detroit carmakers used incentives to maintain sales, which diluted profits. Jeremy Anwyl, chief executive of Edmunds.com, says Detroit carmakers have an opportunity to get back to a situation where they can compete with foreign carmakers on a level playing field, with better market acceptance and higher prices. GM says it will increase prices by about $123 on average to cover higher materials costs. The risk will continue to be in the product mix of a higher proportion of pickup trucks and larger vehicles in a volatile oil price environment....

Fiat acquires a 35% stake in Chrysler with the option to take a 55% stake and majority ownership at later date. The way Marchionne puts it offers clues to Fiat's thinking and strategy. He said this will offer Fiat the opportunity to gain access to a relevant automotive market. Fiat exited the American market in 1983 after years of poor quality. Under new leadership Fiat has come up with bestselling small and fuel eficient cars in Europe. So it is now in a position to bring these cars to the US, where even though the market is declining there may be room for the small cars Fiat is famous for like the Fiat 500. Chrysler received a $4 billion loan from the US government, and this government assistance under an administration keen on keeping a loss of jobs to a minimum must also have helped Fiat make its investment. It may also have been seen as an opportunity with a low cost for Fiat, as Cerberus Capital which owns Chrysler is eager to get out of its failed Chrysler investment. The US government would also be keen on seeing Fiat becoming an eventual owner of Chrysler, because of its innovative, evironment friendly, fuel efficient small car development and its offerings in Europe that might find appeal in the US....

Chrysler-Fiat's efforts to ramp up Jeep's global sales in 2012-2014. Plans to build 120,000 Jeeps annually in St. Petersburg. Chrysler CEO Marchionne sees Jeep as Chrysler's global brand. The problem with sales in Russian and Chinese markets is price, because of high import duties. In Russia this can add upto $22,000 to price, and in China $37,000. This put Jeep prices in Russia at about $86,000 for a Grand Cherokee, forcing it to compete with luxury SUV's like Land Rover. Production locally in Russia and China should make Jeep prices competitive. For covering the international market Chrysler's plan is to build 6 Jeep models with new designs for a sleeker appearance as a lifestyle vehicle. In the past the Jeep was seen largely as a off-road SUV in emerging markets rather than a lifestyle vehicle.

The new J.D. Powers Quality Survey put out in Feb 2013 showed the Lexus, Toyota, Mercedes, Buick, Chevrolet, Lincoln and Dodge Ram brands performing at the top level in number of problems reported by owners of 3 year old vehicles. Land Rover, Jeep and VW brands did poorly. Most of the Chrysler Dodge cars performed poorly. The redesign of vehicles initiated by Fiat Chrysler CEO Marchionne does not show up in this study. The redesigned Jeep and other vehicles will show in next years study. The study also showed buyers of economy vehicles were likely to switch easily when buying another car. New models are showing fewer problems and are more dependable compared to previous years, with the average number of problems declining from 170 per 100 vehicles in 2009, to 132 in 2011, and 126 in 2012.

The large increase in auto sales in 2013 to 15.6 million follows a strong rebound in the U.S. market. The gains in sales over 2009 at the peak of the financial crisis, shows Chrysler at 93% gain in sales over 2009, VW at 92%, Nissan 62% and Ford 54%, according to Autodata. Smaller gains of 33% and 26% for Honda and Toyota. Chrysler's sales were 1.8 million in 2013- the company which depended on policymakers in the Obama administration for survival showed remarkable gains under Fiat's CEO Marchionne. VW returning to the market and stumbling repeatedly in the previous ten years, made serious gains with Jetta and Passat models designed and priced for the U.S. market. VW achieved sales of 0.6 million in 2013. Ford sales were 2.5 million, Nissan 1.2 million, Honda 1.5 million and Toyota 2.2 million for 2013. GM sales 2.8 million increasing by 35% in 2013 over 2009. The automobile story may be the biggest story in the U.S. manufacturing recovery. It also may have made a difference in the election campaign of 2012- with winning campaign points in key midwestern states such as Michigan and Ohio for the Obama administration's backing of a renewed auto industry around fuel efficiency improvements, new management, and new relationship with unions. In the period 1998-2007 average sales were 16 million in the U.S. market, with a nosedive to 10.4 million vehicles in 2009, and a rebound to 15.6 million in 2013, according to Autodata. Under previous union contracts with higher wages and pension costs, and a flurry of price incentives, car makers needed higher volume to make profits. Changes since the bankruptcy of 2 automakers include bringing in management from outside the auto industry- Marchionne at Chrysler, Whittaker and Akerson at GM came from other fields (telecom, finance) bringing new perspectives. Mulally at Ford was from Boeing commercial aerospace. Other changes were lower wages and pension costs with renegotiated contracts and relationships with unions, discipline to lower incentives, younger managers moved up and brought in from outside including Reuss and Barra at GM, Farley at Ford, lower sales to fleets, improved fuel efficiency for SUV's and pickups to change the cost of operating, a mix shifted to smaller and midsized cars, improved quality, and changing the buyer perception of American brands....

Daniel Howes of the Detroit News thinks there are cultural clashes inherent in a threeway Fiat-Opel-Chrysler combination. His view is that Fiat may be biting into more than it can handle, considering the failure of the GM-Fiat alliance, and the Daimler- Chrysler combination. And the Germans at Opel are not happy with the way they see GM has treated them, so how would it help for Fiat to come into the picture? The Germans love the Italians, says one German Howe talked to, but don't respect them. And the Italians he says, respect the Germans but don't love them. Howe refers to the Renault-Nissan combination as successful, but one that took years to build to deliver commonly engineered cars. But the car industry has been poorly run, without vision and with complacent management, unwilling to try new things and recreate and renew. In other industries efforts are made to build transnational combinations with differing degrees of success. Take the work of the French, Germans and the Spanish in Airbus, in overcoming different cultural factors and pulling together to learn from each other, when given good leaders, on the Airbus 380 project. On Fiat's Marchionne's behalf it could be said that this is a new Fiat, run by a younger generation of Italians, who have a lot of youthful energies and freedom to innovate and improvise. Marchionne himself is more Canadian and European, places where he has spent most of his life, than Italian. And he has take a decidedly different view of things from what the old view holds as being Italian, in building the new Fiat he has done things very differently. In fact there may be less of a country view here, than a management culture view. All nationalities aspire to a good management culture of innovation, and freedom to improvise and respect for one's ideas and thinking, good places to work in. People of all nationalities, Italian, German and American, for the first time, especially the younger people, may see that the one thing they value most and share is the desire to start fresh and take initiative, improvise and work together to do the impossible. The common enemy of Germans, Italians, Americans,French, and other nationalities, may be simply the artheroschelorisis of complacent management, that freezes initiative, does not delegate more responsibility to the young and give the freedom to try new things, bureacratizes the corporation into rigid hierarchies that lack speed, and take no risks to achieve the impossible. Which is why old prejudices like the one Howe states from one German he talks to, that the Italians "will steal the milk out of the coffee," may be just that - prejudice from another period, that is best left behind to build something new that has no nationality to it. ...

This would expand production by Fiat in Italy from 650,000 to 900,000 cars, with an investment of 8 billion euros in 2 years. It also helps these firms get a new start. The process of "creative destruction" that helps make capitalism work is put to work in an enlightened way so there is creation as well as destruction, destruction through the tough choices that all stakeholders had to make, and creation through the new structures that are coming up. Preservation also works here through keeping what was good in these firms, which are the employees who had no part in management's mistakes, and workers who may be just as badly trapped in union ways. Scott also explains why the government's offer of 10% ownership shares to debtholders is fair, considering that without the government's money Chrysler would be worth little....

Steve Lohr of the NYT talks of industrial policy by the Obama administration that is behind the new mileage standards of 31.5 by 2016. But when one looks at the huge gap opening up between compettitors in Europe and Japan and the Detroit carmakers in technologies for fuel efficiency, and the fact that foreign car makers now control more than 50% of the car market in the USA, it may just be that the Detroit carmakers will now be doing what it takes to compete with the Japanese and the Europeans. And one looks at it carefully one sees a compromise here by the Obama administration, the Euopeans and the Japanese have standards that require closer to 50mpg in 2016, leaving Detroit carmakers behind even with the new standards.
