The GM restructuring plan of the Obama administration, as GM enters bankruptcy, was designed so that the UAW plays a constructive role in building the new GM. There is a wage freeze, and a no-strike clause until 2015. The union gets a 17.5% ownership of GM, which helps to align the union's interests in improving the share price. At the same time the unions health fund's shares are novoting, so that the union does not make decisions for the company. At Chrysler even though the union has 55% ownership shares, it has only one person on the Board. In the same way the union has a limited role in running GM. The idea is to get the union out of the us vs. they habits of the last 50 years.

An Italy based auto analyst for Global Insight consultancy, Pierluigi Bellini, says Marchionne understands how the system works in the US compared to Daimler executives, who had a difficult time understanding and integrating themselves with the Americans at Chrysler. Marchionne has worked in North America, and brings a youthful culture with plenty of creative energy, which could work well with Chrysler. Chrysler is also at the similiar stage that Fiat was in 2004, when Marchionne came in from outside- it is broken and everyone including the Obama administration is looking for a fresh start. In such a situation its easier to tear up the old organization charts and bring in fresh blood, young people with new ideas, and make a fresh start. Wth the government providing the financing, the financial risk is minimized. What remains is the risk in a drastically smaller and rapidly declining market. Here the lack of mass market small cars in the US, may work to the advantage of a European maker with fresh ideas and speed, and popular European small car models, which is what Fiat has at this time. It is quite possible that the idea that Americans do not like small cars may turn out to be not true. The market is changing and the demographics and economic situation is changing dramatically, cost conscious Americans may like to have a popular small car. Americans with larger cars may like to have a less conspicuous, and easy to drive and park car for short city driving, as their second or third car. If a economic recovery does not occur for several years and Americans downscale in everything from homes, appliances, electronics, and cars to what their European and Asian brethren are used to, both from an environmental point of view, and from a practical commonsense point of view of gettting rid of excess and extravagance, size may be sacrificed for convenience and practicality. Smaller cars are well equipped in Europe with all the comforts and electronics so small does not have to be cheap. In short in a growing small car segment, innovative design and speed of development, with quality engineering may be the ticket for Fiat and Chrysler to the American market....

Total USA sales fell 35% from a year earlier in the last quarter of 2008. At Chrysler the fall was steeper, at 46%, according to Autodata Corporation. On average vehicles sold in December had been on the dealer lots 92 days before being sold, up from 59 days in 2007, according to J.D. Power & Associates. Chrysler vehicles were on the dealer lots for 142 days before being sold, the most for any automaker, up from 70 days in 2007. And AutoNation Inc, estimates that 3.2 million vehicles sit on dealer lots around the country. At the current pace of sales this would last 4 months. AutoNation's CEO Mike Jackson said that he is cutting vehicle orders by half.

What are the implications of the restructuring at GM and Chrysler for the American car market? Market share at GM dropped to 19.3% in the first 4 months of 2009. Says Consultancy Caesa Shapiro Group, the market will become more competitive, with about 15% of the market up for grabs depending on how many GM and Chrysler dealerships are eliminated. THis is based on Caesa's numbers of 14-15 million for the American automobile market compared to the 17 million car year. But the current market is at 9.5 million cars a year so Caesa's estimate may be on the high side even when the market recovers. Which means competition will be intense for the much diminished market in the USA. Deloitte Consulting says the suppliers will benefit as they will be dealing with auto companies whose relative market share is at more equal levels for companies like GM, Toyota Ford and Honda. Supplioers will also be dealing with companies that have better financial position compared to the situation in late 2008.

Was the deal with Cerberus to let it own a significant part of GMAC bad for GM, along with other decisions and missteps that led to disaster. The decision by GMAC to raise credit standards just when the full force of the credit squeeze was hitting financial markets has to have hurt GM sales, and aggravated a bad situation in which consumers first turned away from SUV's and trucks, which were big in GM's and also Detroit's product lineup, and then in November simply postponed purchases of automobiles. The November numbers coming in at over 40% below 2007 numbers for the same month, were a disaster for GM, making it necessary to turn to the government for help. Brian Johnson of Barclays Capital says GMAC financed just 1% of GM's sales in November compared with as much as 45% in a normal month. Thats huge for impact. And Cerberus appears to be responsible for the decision to raise the credit standards, and it has not acted in the best interests of GM but more in its own interests as a private equity firm. And its decisions have been heavily influenced by its souring investment in Chrysler, and its desire to extricate itself from Chrysler without putting in any more funds than it has absolutely need to put in. Now with government help to GMAC, the situation is being restored to where the credit standards are set at the minimum acceptable credit score of 621. Johnson of Barclays Capital estimates that with this lower score GMAC should be able to recapture about one third of its former loan volume, which considering that it had 45% of GM sales is only 15%. This still leaves GM in a bad situation compared to things before October 2008. And with the deteriorating unemployment situation in 2009 and further economic strain in 2009, this will not be enough for the uphill climb facing GM sales. ...

GM and Ford are burning cash at a rapid rate. And the Energy Department says it is unlikely that any of the $25 billion in loans already approved for fuel eficiency retooling of plants will be disbursed by the end of 2008. GM used up $6.9 billion in cash in the third quarter of 2008 leaving cash reserves at $16.2 billion. It needs $11-$14 billion to fund ongoing operations. Ford burned through $7.7 billion in cash in the third quarter of 2008, leaving it with $18.9 billion. Both companies cannot fund salaries and ongoing operations if the market continues to collapse the way it did in the third quarter 2008 with losses of 30-45% in sales. Government support is the only way to fund operations but instead of the $50 billion initially talked about for lifesupport by the government the numbers will run into much more and even then there is no limit to what may be needed. Chrysler is in much worse shape, because it depends on the US market entirely for sales, and is the weakest of the three Detroit carmakers. It is privately owned so figures are hidden, one can guess that big numbers are involved for Chrysler being rescued or merged or taken over by the government....

Howes gives Marchionne high marks for doing what Daimler failed to do. He says Fiat took the best of what Chrysler had and melded it with the best parts of Fiat to create an integrated company. Both Chrysler and Fiat benefit in the process. There is a lot to be done especially with paying off government debt, building the fuel efficient vehicles essential to do well in a time of high gasoline prices, and operating in a highly uncertain economic environment. But the steps taken so far show Marchionne has put Chrysler on the right path. Fiat acquires a 35% stake in Chrysler with the option to take a 55% stake and majority ownership at later date. The way Marchionne puts it offers clues to Fiat's thinking and strategy. He said this will offer Fiat the opportunity to gain access to a relevant automotive market. Fiat exited the American market in 1983 after years of poor quality. Under new leadership Fiat has come up with bestselling small and fuel eficient cars in Europe. Chrysler received a $4 billion loan from the US government, and this government assistance under an administration keen on keeping a loss of jobs to a minimum must also have helped Fiat make its investment. It may also have been seen as an opportunity with a low cost for Fiat, as Cerberus Capital which owns Chrysler is eager to get out of its failed Chrysler investment. The US government would also be keen on seeing Fiat becoming an eventual owner of Chrysler, because of its innovative, evironment friendly, fuel efficient small car development and its offerings in Europe that might find appeal in the US....

Sergio Marchionne, CEO of Chrysler Group, is known to take personal responsibility for getting it right for the small details of quality of Chrysler cars. When one test showed a defective door handle for a revamped Dodge Charger engineers reported on the status of the fix every couple of hours to Marchionne. He believes that if one wants to run the business right one has to get involved at this level. Marchionne has 23 people reporting to him at Chrysler and 25 more at Fiat in Italy. For Marchionne this has helped the two companies to work closely. Chrysler under Marchionne has spent $1.1 billion on revampig 14 models which are now in production. This was the only way to boost sales, as customers did not want the old models. His way to judge the performance of the revamped 2011 Jeep Grand Cherokee was to drive it 3,500 miles through Quebec, New Brunswick and New England.

Losses on trading by JP Morgan Chase bank's London "Whale" reach $5.8 billion by July 2012, according to Finance chief Doug Braunstein. The bank will restate results for the first quarter of 2012, with first half losses of $5.1 billion on the trades made by the Chief Investment Office. Fiat's 35% stake in Chrysler was obtained not for a cash investment, but mainly in exchange for covering the cost of retooling a Chrysler plant to produce one or more Fiat models to be sold in the US. Fiat would also provide engine and transmission technology to help Chrysler introduce new fuel efficient small cars. This purchase would see the Cerberus 80.1% stake in Chrysler diluted. It would not affect the 19.9% of Chrysler that is owned by Daimler. As part of the Fiat deal Chrysler is supposed to restructure the $9 billion in debt it has on its books. Cerberus may lose billions on the deal, but it faces an even bigger hit if it is forced into Chapter 11 bankruptcy protection or it continues running Chrysler into an even deeper slump in auto sales in 2009. The Fiat deal is the only thing that Chrysler has to show that it should keep the government loan of $4 billion and get additional funds if needed to keep the company runnning. Chrysler did not show any new models at the North American Auto Show in Detroit recently and has practically ceased product development. For Cerberus this is the exit plan and ends any prospect of making the Chrysler deal work. Cerberus acquired Chrysler by mortgaging all of Chryslers plants and assets for a $12 billion loan from a group of banks, JP Morgan, Goldman Sachs, and Citigroup. ...
