Rupert Murdoch makes a $80 billion offer to Time Warner for a merger with 21st Century Fox. A deal would add HBO, TNT and TBS to Fox's broadcast network and its cable portfolio including Fox News channel. Most sports content such as NBA and NCAA games are watched live, attracting more advertisers compared to other content where commercials are skipped using DVR's. A key problem for Time Warner investors and management is that the way the proposal is structured- with supervoting shares going to the Murdoch family that controls Fox- gives too much control to Mr. Murdoch and too little say to Time Warner investors on how the future company should be run. An added complication is that Time Warner CEO Bewkes is 62 and has put in place its strategic plan after divesting some units. By comparison Rupert Murdoch of 21st Century Fox is 83, and his sons are seen by Time Warner as not having the experience to handle a company of the size resulting from a merger.

British prime minister Starmer has introduced new legislation to "smash the gangs" that have people smuggling networks and made 150,000 illegal small boat crossings into the UK since 2018. The European Union plans to reduce greenhouse gas emissions by at least 55% by 2030, based on 1990 levels. The 21 hour summit of EU leaders met in Brussels. It was a constant worry about climate proposals said Angela Merkel. After a 21 hour debate agreement was reached including overcoming concerns of coal dependent countries. Merkel says "it was worth a sleepless night."

Senator Manchin wants other countries or regions such as the European Union to go first with the global minimum tax of 15%. Holdouts Poland and Hungary have not agreed to the 15% tax in the EU. After that the US could follow. Mr. Manchin is a Democrat whose vote is needed for Congress to pass the legislation. Currently the tax is set at 10.5% after legislation passed by president Trump.

Much of the funding for HEIRS - for Health, Education, Infrastructure, Retirees and Society- has to come from better collection of taxes, so that everyone pays their fair portion of taxes which tech companies are not doing in the last decade.
