The London Stock Exchange will buy $2.8 billion of Microsoft products over the next 10 years including its Azure cloud service. Microsoft will in turn take a 4% stake in the London Stock Exchange. In this way the tech and financial companies will come together. It brings one having a growing batch of financial data together with another company that has cloud computing and financial software.

The 32 billion pound bid by the Hong Kong Exchange for the London Stock Exchange is not likely to be viewed favorably by regulators. There is already a bid for the London Stock Exchange that is being reviewed. As The Times puts it "it provides a stern test of the British government's appetite for foreign acquisition of strategic assets."

The London Stock Exchange is making an all share offer for Refinitiv, with the strategy to build a financial data business. That would make Blackstone and Thomson Reuters major shareholders.  The Hong Kong government owns 6% of the Hong Kong Exchange. 

The London Stock Exchange has a long history and is a strategic asset for Britain so that the Hong Kong bid is seen as a bit strange considering that the strategy is different for Refinitiv.

The sudden collapse of Thomas Cook, and the immediate layoff of its 20,000 employees comes as a shock as it is an old company trading since 1841 on the stock exchange. The name was synonymous with travel in Britain and in British Commonwealth countries. The analysis in the Times of London shows management was to blame. First with overexpansion under one CEO, even though online travel booking was taking off. He was fired, and followed by sharp cutbacks with another CEO who was fired, followed by last minute efforts to save the company as it faced huge debt loads and interest load even though its revenues were up by 6%.

In a situation similar to that faced by Jet Airways, an Indian airline, which also had overexpansion and debt load problems, the banks had second thoughts and turned down any new financing to support the company as being too risky.

About $2.4 trillion flowed in and out of the UK in 2006 only $400 billion less than the USA according to McKinsey Global Institute. Critics point to this as a lack of innovation in its labs. Example of this is Treximet for migraines that combines older drug Imitrex with a painkiller ingredient. Prince Salman's efforts to launch an IPO of Saudi Arabian National Oil Company faces resistance from Saudi bureaucrats. Prince Salman wants to reduce the country's dependence on oil revenue, and hoped to use the IPO generated $100 billion to make investments in other industries. Saudi technocrats see risks in the plan- as costing consumers billions of dollars in higher gasoline prices, legal risks and public scrutiny. The IPO has been pushed back to 2021. Large new investments such as solar generation hub also face passive resistance in the bureaucracy. New investments policies have led to a Saudi recession in 2017, and reduced investment and consumer spending. Prince Salman sees it differently, once telling Theresa May of Britain that even if he got 50 of the 100 things he wanted done, that would be 50 not done otherwise. Salman has a disdain for the bureaucracy and has tight control over the country. He has led popular social changes such as letting women drive and taking away the power of religious police to make arrests. The Economy Minister has slowed down a plan to sell state assets such as government owned hospitals,airports, because conditions are not ideal. A plan to invest $7 billion in Uber was shelved. Aramco chairman Mr. Falih has reduced the size of investmetns including for the solar energy generation project. A plan to have ARAMCO listed on the New York Stock Exchange preferred by Prince Salman has been changed with advisers suggesting the London Stock Exchange as a place with lower risks of law suits under U.S. tort laws. Saudi executives at ARAMCO also pointed out that to reach the $2 trillion valuation that the Prince has in mind for ARAMCO the company would have to sell gasoline to Saudis at market rates, tripling oil prices in the kingdom -costing consumers $98 billion. The advisers believe it is more prudent financially to raise debt. Under that plan ARAMCO could raise debt to buy the Public Investment Fund's (PIF) 70% stake in state owned chemicals company Saudi Basic Industries Corp. which would infuse PIF with $70 billion, almost as much as generated by a IPO for ARAMCO. On solar energy Mr. Falih lowered the plan from 1500 gigawatts to 200 at a cost of $200 billion. Under a new plan this is at 60 gigawatts from solar and wind with 70% produced by the Public Investment Fund, the state's investment fund.   ...

Shares of Adani Enterprises went up by 3000% over 5 years putting valuations at extreme levels, says this report in the WSJ. This has created a disconnect between valuations and fundamentals say some experts. Hindenburg Research is a American forensic financial research firm started in 2017 by Nathan Anderson in New York City with 5 employees. It has issued a critical report of the Adani Group companies leading to a loss of 18.5% of its valuation. Adani Group companies make up 5% of the Bombay Stock Exchange and are a big part of its renewable energy effort even though the company had major interests in coal in Australia. Adani is trying to make the switch to renewable solar and wind energy and at the same time meet India's continuing need for coal because of its large population. The situation is similar to China and is poorly understood in the US and Europe, the effort to make large investments in renewable energy even as the company provides energy from fossil fuels. Adani set up the Mundra port in Gujarat helping Gujarat become energy sufficient and making it the most industrialized part of India. The London based Financial Times took a look at the Adani Group long before Hindenburg Research in the last 2 years and concluded that Adani Group companies have grown rapidly because India's effort for industrialization requires aggressive investment and risk taking which none of the other companies including India's Tata and Reliance Group are able to do in infrastructure and energy in the same way that Adani has. Reliance Group has invested in 4G and 5G and setup Jio to create low cost access to fast internet in India. When it comes to roads, airports, coal and renewable energy Adani has invested aggressively. This has created the perception that the Adani Group has benefited from its relations with the government. As the Financial Times put it Adani Group was the only private investor willing to take up the challenge of super sized goals needed for India's rapid growth. In this sense a forensic research company based on short selling is up against a company that has already faced skepticism about its rapid emergence as a renewable energy focused company shifting from fossil fuels, a transition neither Exxon or Chevron in the US have been able to do. ...

Aeroflot is listed on the London stock exchange. It is going through a makeover by ordering Boeing and Airbus planes to become profitable, because the older Russian made Tu-154 planes were costly to operate with higher fuel consumption. The Sukhoi Superjets are being built in partnership with Boeing. Kramer says the aircraft industry operates on long timelines so that the lack of local aircraft comparable to Embraer of Brazil and Bombardier of Canada is more a reflection of the situation in the 1990's than of today. Newer aircraft are planned for the next decade for smaller midrange planes. In the meantime Aeroflot is selling all of its Tupolev aircraft and plans to layoff 6000 workers during the transition to profitability. Till 2009 Aeroflot was run by Yeltsin's son-in-law, as were many other companies managed by Yeltsin's inner circle during that period. Following changes made by Putin in 2009, a new CEO was appointed to better manage the transition of the airline into a national and global carrier....

Two realities are affecting exchanges. One is that trading commodities and derivatives is a $600 trillion business worldwide and is more profitable than trading in corporate shares. This shows in the value of ICE and NYSE in the stock market. In April 2011 ICE was valued at $1.5 billion less than NYSE, in Dec 2012 ICE was valued at $4 billion more that NYSE as it makes its bid to merge with NYSE. The other is that the Dodd-Frank financial system overhaul in the U.S. after the 2008 financial crisis has created a new model for derivatives trading providing advantages to regulated electronic exchanges and clearinghouses that handle derivatives trades with transparency. Jeffrey Sprecher, CEO of ICE, the IntercontinentalExchange, which handles derivatives trading through its clearinghouse operations, says: "For the past decade, our solutions made our markets increasingly electronic and increasingly clear. Today, financial reform is imposing that vision on many markets through a rule-making process." Bart Chilton, a member of the CFTC which regulates derivatives trading says Dodd-Frank legislation supports the business model of derivatives exchanges. This is especially true for Mr Sprecher and ICE. Sprecher has a good relationship with regulators with whom he talks directly, and is supportive of CFTC efforts to close loopholes as he is confident he can make money as long as the rules are clear. His confidence stems from his model which is technology based from day one, with its own clearinghouse and technology based transparency of the ICE data vault, information it shares with regulators. Sprecher stumbled upon this opportunity. He is an executive in the power industry. Working on developing power plants Sprecher found it was difficult for power firms to hedge investments in energy with financial contracts because there was no well organized, clear and transparent market for such contracts. This he set out to do by buying a little know exchange in Atlanta for buying and selling electricity, later getting the the backing of BP, and investment banks such as Goldman Sachs and Morgan Stanley, to form ICE in 2000. Banks liked the idea of a having an organized clear place to buy and sell derivatives in oil and other commodities, and having an alternative to the Chicago Mercantile Exchange in futures trading. Swaps trading under Dodd Frank supervision is converting to old style futures contracts where there is less competition for ICE's futures trading creating new opportunity. ICE setup its own clearinghouse, and acquired the Clearing Corporation, which was the base for a derivative called credit-default swap. To make derivatives trading transparent and reduce systemic risk Dodd-Frank legislation required exchanges to provide information to data warehouses which would then share the information with regulators. ICE setup its own data warehouse to do this called ICE Trade Vault. Dood-Frank rules envisioned the formation of clearinghouses and exchange such a ICE to provide a clear process, transparency and reduce systemic risk in derivatives trading. ICE under Sprecher by making this vision its own and using technology has created new opportunity. ...

The Baltic Dry Freight Index (BDI Index) dropped to 577 in Jan. 2015, its lowest level since 1987. The BDI Index went up to 11,793 in 2008. Capacity is about 20% higher than demand for dry bulk shipping vessels of commodities such as iron ore and coal. Analysts say tonnage of dry bulk vessels went up by 85% after 2008, just as the demand fell sharply.
