With Whitacre in charge at GM there is a change of style and substance that just flows from who the man is. He is a no-nonsense guy, who once told a colleague from his days at Southwestern Bell, that God gave us two eyes and one mouth for the right reason so we should use it in that proportion. He is quite matter of fact about approaching the probems at GM right from the beginning. From those early meetings at the Westin airport hotel in Detroit, where he would tell GM executives and Henderson that if things did not happen the way they should and quickly he would find the right people. After there was a lot of soul searching about Henderson's decision to sell Opel- and three directors with private equity background decided it was bad for GM, that GM needed Opel for its compact and midsize car engineering and sales volume- Henderson was replaced as CEO. The decision was reversed. Within 3 months of Henderson's departure four other executives were let go, 20 more were reassigned and seven outsiders were brought in to fill top jobs. Lutz was marginalized. Reuss in his forties was placed in charge of N. America. The metrics were simplified from Wagoner's days to six: market share, revenue, operating profit, cash flow, quality, and customer satisfaction. His approach to get managers who make decisions fast and correct mistakes speedily. Vice chairman and CFO, Christopher Liddell, is from Microsoft and joined in January. Liddell points out that 12 of the 13 person GM executive committee are either new to the auto industry or outsiders. And the seniormost Whitacre and Liddell, are new to the auto industry and outsiders, so Whitacre can point out that GM has run the business in a more complicated way than it needs to be. The big changes are cultural. And making these changes for a company the size of GM and with the trauma that happened at GM with the speedy decline, required someone with the experience Whitacre gained in tackling the problems he faced at Southwesten Bell and the new AT&T, with its changing culture. The tough down-to-earth nature of the guy, with no affectations or layers to his personality whatsoever, proved an asset at the new AT&T and now at GM. Other decisions he has made at GM, are some strategic ones like bringing down incentives to sell cars, the latest being letting market share drop in March in the face of Toyota's heavy use of incentives to recover from the recall crisis, but sticking to reducing the incentive dollars by $1200 to $3500 per car. This made it possible to achieve sales goals. And some tactical but of great significance, from a common sense approach to GM advertising with his remark "I'm sick of Howie Long." Pitchman Long was a football player, and what Whitacre insisted on was showing off GM's best models and features to blow the competition, like the "May the Best Car Win," campaign. That many of GM's ads didn't focus on the cars and didn't make any sense, like little Cadillacs flying out of a birdhouse, makes this truly incredible to an outsider. Other things Whitacre brings are a change in his expectations, and his overall demeanor. This impatience may be a good thing for GM especially with the capital investment in new models, plant investment and better decisionmaking, and commonsense approach, to back it up. In the car industry it can't hurt for the top guy to look at the car clay models and ask why they can't be brought to market in 12 months. It gets people thinking differently. Asking a Cadillac dealer he knows in San Antonio why they should'nt be selling twice as many Cadillacs if the marketing was better. It helps when the top guy can visit a plant and have "diagonal slice meetigs" with plant staff, workers and UAW people, to talk about things in sweat shirt and jeans with no airs about yourself whatsoever, and to follow this up with a repeat meeting some months later and announce a $136 million investment, as he did with the Fairfax plant in Kansas....

In commenting on Rishi Sunak, a former hedge fund manager's sudden rise from anonymity three years ago when Boris Johnson became prime minister to leadership of the Tory party and prime minister, The Hindu cautions that it is of limited symbolic value, this kind of connection between India and the UK. The Tories are a house divided against itself, with many factions. Truss was brought down by Gove and others on the backbench who were not included in the government. Other Conservatives on the backbenches today, and Johnson, Jacob Rees Mogg, represent factions that are not represented in this government as was evident in questioning by Opposition leader Starmer in QA in the House of Commons. Other problems remain also evident in Starmer's questioning for Labour in parliament, including questioning about non domicile status in the family for tax purposes. Privileged Tories with connections to free markets such as Jacob Rees Mogg or Sunak without an awareness of the pain of ordinary working families, are not what a country with a cost of living crisis sees as leaders who can point to the way forward for Britain. As The Hindu points out he faces the same difficulty that Johnson with his style and personality was able to sidestep, that Truss naively tackled with quick unraveling of tax cuts for the upper incomes, and which Sunak with his experience with financial hedge funds may appear to have grasped but find escaping his grasp. This is the difficulty of matching traditional Tory policy of tax cuts and austerity, at a time when all major countries of Europe and the US are providing significant cost of living assistance to working families. Even small bits of austerity policy, or lack of conviction to help working families may now be seen by the Opposition, Labour, and even within some part of the Tory party and the vast majority of working families as oppressive.  Starmer is keen to remind working people of where Sunak stands as he did with the question in parliament Q&A about the comments made by Sunak at a small gathering that he had transferred money from poor districts to more affluent Tory districts. Would Sunak correct these erroneous funding formulas, Starmer asked. The Hindu also mentions Suella Braverman's appointment as Home Secretary only weeks after her resignation. It was poor judgement shown by Johnson in an appointment that cost him Tory support a few weeks before his resignation. Starmer brought this up from the beginning of parliament Q&A- asking whether a deal was made for her appointment to get far right wing Tory support from Braverman's faction in the party. For India and the Indian people there are so many genuine connections with Britain and the British people, some set when Mohandas Gandhi won the hearts of English working families during his visit for negotiations with the British that are are a better basis  and that will be remembered forever in the hearts and minds of the British people. ...

He also says that investors looking to invest in oil because of the shortage psychology that has built up the price of oil and these investors cannot all be called speculators. In a rounded way this is saying that speculation or whatever term one uses for investors in oil has increased the price but this is largely a byproduct of the overall demand supply situation which is the primary factor.

This WSJ report shows how the debt ceiling negotiation were conducted and the process that made it possible to reach an agreement since the State of the Union address by president Biden on February 7, 2023. It started with Biden getting unanimity right on the floor of Congress during his speech about protecting Medicare and Social Security. The Republican strategy was to pass the legislation on spending that did not specify where cuts were to be made yet used 2022 spending levels with a 1% increase. The deal was to be for three years and passed the spending bill with an increase inthe debt ceiling. Till that time the Democrats decided to not enter negotiations.  Biden and McCarthy then had to choose who would represent their side in the long negotiation process that lay ahead till June 5. Progressive Democrats called for invoking the 14th Amendment that allows the government to continue functioning and pay its bills. Biden chose not to take that route. Respect for the other side, a prepared script are an important point in negotiations. To get results something even more important is essential flexibility and a plan, Plan B. Trust began to develop between McCarthy and Biden. Biden and McCarthy did not any time engage in acrimonious description of the other side. At one point when Biden was in Hiroshima for the G7 meetings Ricchetti on the Biden side and Graves on the Republican side began to feel the frustration. Biden decided to fly home early from Hiroshima. He was constantly in touch with his negotiators Steve Ricchetti, a trusted aide, and a cabinet official the Budget Director Shalanda Young. Graves a long time trusted adviser of McCarthy headed the negotiations for McCarthy.  Shalanda Young and Garrett Graves are both from Louisiana and Graves says he used to work out with Young's dad in the same area. This had a positive effect. It also reduced the tensions in the negotiations so that it could be said this was the calmest negotiation from either side that has been seen in the US  for a long time and bodes well for America's future and for its people, far beyond any concessions made by either party.  Biden made clear at the outset what he could accept without leaving it hidden- he would agree to some work requirements, he would not agree to work requirements for Medicaid. Others in the Democratic party conveyed how distraught they were with efforts to impose stringent requirements for federal food aid during a cost of living crisis when the Republican positions ruled out any new taxes on the wealthiest Americans. In the end Republicans agreed to keep spending limits for 2023 for two more years into 2025 when they would be increased by 1%. Democrats offered to cut (Income Tax) Internal Revenue Service (IRS) spending to increase IRS staffing from $80 billion to $70 billion. Biden said "nobody got everything they wanted." It would have to be passed in Congress with the support of moderate Democrats and moderate Republicans, with members holding extreme positions among Republicans and Democrats opposing. The two parties coming together after a long time to meet the real challenges ahead for the American people. ...

Experts are asking if this is coming at a price as the rest of Italy has stagnated for 20 years, and the rural large city gap is increasing throughout Europe. The flow of professionals to cities such as Milan, Paris, Munich, Berlin, from other towns and cities is creating a huge shift that experts at the Centre of European Reform see as a problem because of the political turmoil, and rising inequality with ever widening gaps between smaller cities and towns and rural areas with the big cities. This is compounded by ageing and demographics such as seen in the eastern part of Germany, and parts of France. Experts call it The Big European Sort, where a sifting or sorting process is increasingly transforming the demographics of European countries and driving polarisation. This process is also happening in the U.S. Experts say the big cities benefitted from the change with the European single market and the European Union. Places where working class people live are not seeing and increase in wealth which is disproportionately going to professionals clustered in big cities. Deindustrialisation has turned places like Mezio only 20 miles from Milan into industrial ruins. Towns that once voted socialist are now voting far right in these hollowed out industrial places. In the U.S. and in Europe the process was exacerbated by the flow of cheap imports from Asia hollowing out factories in regions around big cities, and by the growth of services industry in big cities with globalization in finance, legal, and other professional services. Fro 1980 to 1995 Paris region lost about $5.5 billion in industrial output and gained $20 billion in services output that also aligns with globalization in areas such as finance, according to CER, Eurostat. The process had accelerated in 1995-2020. By telling this story about Milan and the Lombard region around it like Mezio, The Guardian is saying it is time to look at how everything works together rather than breaking apart- citing the Finnish architect Saarinen about how a chair fits into a room, a room into a house, and a house into its environment, an environment in a city. So the question is how can we build the future by seeing that the city fits into a region, and a region fits into a country. As a young professional described this on BBC television interview recently this is a difficult period with the ability to design the future seemingly snatched away by the times, but also an opportunity to rethink and take the actions today for a better tomorrow for all. If you look at the Constitution, it does not favor unbounded economic liberalism. Rather, our Constitution seeks to find the right balance. When individuals can exercize their liberties and to be fairly rewarded for their efforts, then economic justice becomes one of the many inter-related dimensions of life. Ultimately, we share common faiths and destinies to the point that development of each individual fosters social justice in the entire world." "The basic structure doctrine of India's Constitution is that it guides and gives certain direction to its interpreters and implementers, when the path is convoluted. The craftsmanship of a judge lies in interpreting the text of the Constitution with the changing times while keeping its soul intact." This happened when Nani Palkhivala presented the idea before the Supreme Court in 1973 against prime minister Indira Gandhi's Emergency rule that parliament had limits to its powers when it came to amending the Constitution if by amending it the amendment would destroy the spirit of the Constitution or its basic idea. This includes freedom of expression, rule of law, separation of powers, freedoms guaranteed to all citizens. The amending power is limited and cannot be turned into an absolute power. Another way of looking at it is that parliament itself is organized by statutory authority. And it cannot destroy or dismantle the very basic features of the law (the Constitution) that created it in the first place.     ...

During three day of presentations by Mr. Trump's defense legal team the focus of Pat Philbin and Alan Dershowitz was on the actions of the president on Ukraine policy not rising to the level of Abuse of Power and Obstruction of Justice that Democrats in the House have presented as the 2 Articles for impeachment. Earlier the White House legal team put the focus on Mr. Biden, and his son Hunter Biden's role in the Ukrainian company Burisma as a board member. Burisma was being investigated for corruption by Ukrainian prosecutors. Much of the defense presentation recalled the effort during the early days after the Civil War to impeach president Andrew Johnson simply because Republicans in Lincoln's party did not like Mr. Johnson's views on Reconstruction of the South, and his dismissal of Mr. Stanton, the Secretary of War. That effort failed because it lacked one additional vote needed for a two thirds majority in the Senate. Republicans say not only are the president's actions on Ukraine calling for an investigation of the Biden's not an impeachable offense as "a high crime," but also that Democrats dislike of Mr. Trump just as Republican dislike for Mr. Johnson was lowering the bar for impeachment by making malleable charges. They argued that one of the country's founders Mr. Mason even rejected the idea presented to him that "maladministration" as grounds for impeachment should be put in the Constitution for the very same reason, that it was malleable to a preconceived notion of what is wrong. Four Republican senators Gardner of Colorado, McSally of Arizona, Tillis of North Carolina and Collins of Maine face tight races in upcoming elections, and may decide in favor of a compromise for the calling of witnesses. This would allow Republicans to call Mr. Biden and Hunter Biden to testify, and Democrats to call Mr. Bolton to testify on his views expressed in his to be published book that the president withheld aid to Ukraine because he felt that corruption needed to be investigated.   ...

This Washington Post editorial says vice president Biden's comments that "I guarantee you, flat guarantee you, there will be no changes to Social Security. I flat guarantee you," made to a voter in Southern Virginia, is downright disheartening. It points out that this is not the conclusion of the trustees of the Social Security Fund, which includes the secretaries of Treasury, labor and health and human services of the Obama administration. The April annual report of the trustees says that the disability portion of the trust fund "becomes exhausted in 2016," and the overall fund "becomes exhausted and unable to pay scheduled benefits in full on a timely basis in 2033." Actions suggested by the trustees include: raising the payroll tax, tweaking the inflation calculator, reducing benefits, or some combination of this. It is clear from polls that the U.S. voter does not want either party to touch Social Security, but the reality is something different. The idea of a flat guarantee in the light of facts that all can see is seen by the Post as going too far, trying to win votes at the cost of postponing necessary decisions which will become harder and costlier if not addressed early....

How a small Kansas town of Grinnell in America finds a way to deal with the rural-urban divide and covid anxiety generated in the tumultuous years of 2020-2021, is the subject with pictures of this report in the WSJ. Grinnell is heartland America and its residents find a way to set Kansas and America in the right direction. One one side some resident worried they would end up like Minneapolis or Portland with protesters. An incident of drivers along Highway 70 emptying shelves of toilet paper in neighborhood stores is seen negatively by some  Grinnell residents and leads to forming an Emergency Preparedness Group to prevent outside agitators from creating problems. Others like the Enlightened Ladies Group try to calm things down. Gene Tilton, 84, and his son 63 years, whose family arrived in Kansas in 1880's did'nt see the need for forming some sort of vigilante group. He raises cattle and crops on a 10,000 acre farm. Michael Machen who practiced medicine in Gove County for 35 years also felt the same way and believed law enforcement could tackle the problem if there was one. Sheriff Mesch attended the Gove County emergency Preparedness Group public meeting by invitation in January 2021. This about the time when the Capitol in Washington DC was stormed by protesters and the country was divided after the election. At that time after 19 months of coronavirus deaths, racial unrest and political violence America was on edge, communities all over America were struggling with the idea that the immediate threat they faced was from other Americans not foreign adversaries. The sheriff told everyone at the Emergency Preparedness Group's public meeting where he stood- law enforcement could handle any threat and he didn't anticpate anything his deputies could not handle. He told the Emergency Preparedness Group that he appreciated their sentiment though, if he needed help he would ask, yet concluded that is the only way. From that rebuff by the sheriff the Group paused its activity and shifted its message to offering to help anyone deal with the deep cold spell in February, to cope with snow, tornadoes, fires, rattlesnake bites and similar hazards. They sponsored first aid classes, and a "Homesteader Gardening Class." Soon their idea was "we're here to help people, the last thing we want is for people to be uncomfortable." "Gove County" says Don Tilton, "has moved on." So must America today. ...

Responding to the statements that southern England does not have high or has falling rates of coronavirus Mr. Johnson says it has been shown that a low rate catches up in one area when it is next to a high rate area for coronavirus so that the result is the spread of the virus to the point where the NHS cannot cope.  The NHS like the French health system and other health systems in the European Union, U.S.  India, and other countries are strained to the limit. Most healt care workers in hospitals have felt severe strain on themselves and their families during the first wave. Most are exhausted and are in a situation of fatigue with the added factor of some healthcare workers on leave from the virus illness. This puts additional burdens on the system. Without the action taken the health system may be overwhelmed in many countries leading to disaster.   ...

We needed to look at the entire logistics, planning, and progress of the vaccination drive." To understand the person completely one has to go back to the origins of his experience, skills learned, and his inspiration for the effort. It may be looking back that Vivekananda guided Modi in all his projects for a Clean India, Jal Jeevan, Indian infrastructure that benefits the last man in the queue in the country, commitment to hard work. "Global experience says government should be there for those whom nobody is there. Government's whole focus should be on helping them." To do this, to meet the needs of that last person left out in India, he could see that old notions of opposites had to be set aside. "Outdated theories such as the private sector vs the public sector, government vs. people, rich vs. poor, urban vs. rural, are still on people's minds and they try to fit everything into this." Governments since independence in 1947 followed the same political and economic thought. After Gandhi negotiated with the British government for self rule or Swaraj an experimental form was set up with provincial governments ministries with limited powers formed in the 1930's through elections. Many of these ministries had the same problems that were found after independence in 1947, as one sees in the writings in the Gandhi library. They lasted for a few years before they were dissolved by the British government. These problems were more evident under Nehru and Indira Gandhi right into the 1970's and beyond. This was followed by a period of relative stagnation. Most ministries failed to seriously address India's economic problems, urbanization issues and agricultural issues remained unaddressed, and industry building was done with a limited vision and scaled down goals. In some ways the elections created a political class interested in perpetuating itself and did not build administrations based on learning, hard work and delivering on projects with scaled up targets to match the dire needs of the country. One sees similarities with France before 1960, before De Gaulle. A mosaic of peoples all separate from each other, with agriculture the main occupation, and most agriculture done the way it was in the nineteenth century by hand and using horses and cattle- this is the picture of France shown in Nous Paysouns, We Farmers, a documentary on Le Monde French television in October 2021. It was De Gaulle who supported a shift to presidential form of government for France that helped with the transformation through modernization and infrastructure development. Tractors were introduced in 1960 to mechanize agriculture. Road, bridges, rail transport, logistics were planned in the way Gati Shakti master plan for India is now being executed. There can be no transformation without this. Unstable coalition governments in France and lack of clarity and decision making before 1960 made such development impossible. India entered such a period in the 1970's. "The politics of our country is such that till now, we have seen only one model in which governments are run to build the next government (sarkar banane ke liye chalayi jaati haye). My fundamental thinking is different. I believe we have to run the government to build the nation (desh banane ke liye sarkar chalani haye)."  Chalta haye, Chalne do. What is will not change. Romania, one of the poorest nations in the EU, has per capita GDP half the EU average. Years of large spending before the financial crisis hit in 2008 have led to high debt levels and turning to the IMF for assistance. The IMF and the EU arranged a loan of $26 billion in 2009 with conditions for spending cuts. GDP declined by 7% in 2009. In 2011 GDP increased by 2.5% and in 2012 about 1.5-2% growth is expected. The spending cuts included cutting 200,000 government jobs since 2009, with another 100,000 jobs to be cut in 2012. Wage cuts of 25% were made. Other actions include raising the retirement age, removing special pensions for the military and police, raising the value added tax and cuttting subsidies including heating help. The result is that polls now show the centre right government of Emil Bloc has support from only 20% of people polled compared to 50% for the main opposition party. Emil Bloc resigned after weeks of protest on February 7, 2012.

A Vermont musician could not practice her livelihood after her arm was amputated because of gangrene. Now the Supreme Court upheld the Vermont Court, with Justices Kennedy, Souter, Ginsberg, and Breyer joining Justice Stevens. Justice Thomas concurred. Scalia, Roberts and Alito were in dissent. Wyeth had a FDA approved label that warned against "inadvertent intra-arterial injection," but it did not say do not use IV Push. Justice Stevens writing the majority opinion said Wyeth's reading of the regulation was "cramped" and based on a "fundamental misundrstanding." The Reality Wages for teachers are depressed compared to workers in the financial and economics industries, in a frighteningly disproportionate way. When it comes to logistics, hospitality, leisure and restaurants industries workers were paid poorly for what is hard work and long days. In case the IMF economists, and economists at companies, missed this it was called the Great Resignation, people simply choosing to reject the conditions that were handed down to them by the financial industry and economists who built the economic structures of recent decades. Women leaving the workforce are faced with issues of mental health coping with added responsibilities of children at home for the two years, loss of income and widespread mental health problems. The word mental health may be beyond the grasp of economists and the financial industry, yet it is the one of the biggest problems for people. Another pernicious effect noted on the pages of the WSJ is that young white men are dropping out after school because they cannot afford college in alarming numbers. Leading to the kind of discontent for workers and families that president Biden is struggling to address. The floods, fires, river and reservoir water levels affecting access to basic life supporting water, drought, all over the world are of a magnitude that is missed entirely.The response to a challenge of this type requires the kind of leadership that president Biden has provided for the world with his $360 billion climate change bill as just the first step of many, and  comprehensive policies covering all aspects of the climate crisis. ON IMF bog- "How Domestic Violence is a Threat to Economic Development." "Stopping violence against women is not only a moral imperative, new evidence shows it can help the economy." The Reality Domestic violence hurts children growing up in such households. It is not so much a moral imperative as it is bad for men, women and children. So many things are wrong about it and it is made worse in conditions of low wages and poor working conditions in poor neighborhoods lacking education. These neighborhoods are also affected by lack of healthcare and the opioid crisis and mental health issues. Not investing in education and healthcare in these communities is what is simply wrong, and which the founders of America as a nation, particularly Lincoln, would find appalling.   Relationship between Capital (the Financial Industry) and Labor (Workers and Families) On the basic issue of the relationship between capital and labor, the IMF and the financial industry, economists, and the economic structure they built in recent decades, have simply got it wrong. It violates both common sense and wisdom, and violates the spirit of the founders particularly Abraham Lincoln. This is what Abraham Lincoln had to say on Upward Mobility, the ease with which each generation can do better than the one before it, as critical in the fight to save the Union. This is from the Annual Message to Congress Dec. 3, 1861, at the start of the Civil War. That upward mobility has been lost in the US with ideas that "place capital on an equal if not above labor, in the structure of government," for the last three decades in the US after the early post war period of Truman and Eisenhower, Kennedy-Johnson.  And Lincoln says this about a hired laborer being fixed in that condition for life, or of future generations of that hired laborer facing disabilities and burdens, similar to the loss of upward mobility for the people today. "Now there is no such relation between capital and labor as assumed, nor is there any such thing as a free man being fixed for life in the condition of a hired laborer. Both these assumptions are false, and all inferences based on them are groundless." "Labor is prior to, and independent of capital. Capital is only the fruit of labor, and could never have existed, if labor had not first existed. Labor is the superior of capital, and deserves much the higher consideration. Capital has its rights, which are worthy of protection as any other rights." "Again: there is not, of necessity, any such thing as the free hired laborer being fixed to that condition for life. Many independent men everywhere in these states, a few years back in their lives, were hired laborers. The prudent penniless beginner in the world, labors for wages awhile, saves a surplus with which to buy tools or land for himself, then labors on his own account another while, and at length hires another new beginner to help him. This is the just, and generous, and prosperous system, which opens the way to all- gives hope to all, and consequent energy, and progress, and improvement of condition to all." Lincoln even offers this warning- No men living are more worthy to be trusted than those who toil up from poverty- none less inclined to take, or touch, aught which they have not honestly earned. US president Biden has these ideas in mind as he struggles with one piece of legislation after another to restore what once was, to open the door of advancement, to remove these disabilities and burdens that Lincoln speaks of, and in so doing restoring liberty.   ...

Unacceptable is that American men in their 20's and 30's are falling behind women in their 20's and 30's, in education and in economic prospects, says this report in WSJ. More young men are living with their parents than young women. As this report shows men are more dependent on manufacturing, women are more dependent on remote work, one more reason manufacturing is so important for our economy. In ways economists with specialized macroeconomic knowledge and statistical approach don't get what requires an overall knowledge and understanding of how the economy works when it works well for the People and the Nation. As a result what is not true for young women is true for young men, that this generation of young men see fewer opportunities than their parents did. This is a central task of a Harris administration- to address this, one of the unacceptables including fentanyl and for orderly immigration, loss of manufacturing. For building US manufacturing that also plays right into opportunities for young people, and getting more young people into apprenticeships, one of the key pieces of Harris's economic platform. Simply lowering taxes won't do it- this generation is all about investing and doing this well and with the full power of America's resources. ...

Pozen calls for smaller Boards of Directors, and suggests about 6-7 directors for a board. Having closer to 11 directors, as is the norm he says, leads to "social loafing" where the directors do not contribute to effective governance. He cites research showing 6-7 is the most effective size for directors to take personal responsibility and take decisive action. This is important as Boards of Directors at GM, Citigroup and other companies failed to take action, leading to a government bailout of these companies. In other cases the situation was less dire, but the Boards failed to provide effective governance. He suggests the board be comprised of people with experience in the areas the company operates in, with one or two generalists to provide a larger perspective. The Citigroup board in 2007 was comprised of luminaries and only one independent director had worked for a financial services firm. The current practice of a board meeting in person every other month for one day, plus conference calls, is just not adequate to stay abreast of the global operations of a company. What is needed is for an outside director to spend 2 days a month on company business between board meetings. For this reason independent directors should be restricted to serving on just two boards of public companies, Pozen says. This would mean having experienced retired persons in the industry, who are over 60. Compensation which is about $200,000 for a board member would be increased to $400,000, as directors would be putting in twice as many hours. Pozen would like to see board members taking their duties seriously, and having expertise in the field the company operates in, making the board duties their primary job rather than an avocation....
