Lawyers Buchheit and and Gulati help Greece design a legal agreement that writes in a new collective action clause. The collective action clause ensures a 95% participation for the bond restructuring deal Greece is doing in March 2012 to cut its debt to sustainable levels. A similiar deal could be designed for Portugal says Mitu Gulati, a law professor at Duke University. Because Greece's bonds are written under Greek law, writing in a new collective action clause is a legal mechanism for achieving a meaningful debt reduction and bond restructuring deal- this is something Gulati and Buchheit figured out because of their expertise in this field. A joint paper by Buchheit and Gulati in 2010, first explored the way in which private bondholders of Greek bonds who reject a bond debt restructuring could be forced to accept the same losses as other investors who accepted the deal. They are now advisors to the government of Greece. In early 2011 there was serious discussion that the Brady Bonds debt restructuring for Latin American debt of Argentina, Mexico and Brazil of the 1980's, under which private investors traded in their old bonds for new bonds with longer duration at reduced interest rates and lower value- reflecting voluntary losses accepted by bondholders- was the approach needed for Greece, Portugal, Ireland and other eurozone countries. Then U.S. Treasury Secretary Nicholas Brady took the lead- in Landon Thomas Jr., NYT, 11/30/2010. Bondholders held out throughout this period, with Charles Dallara, one of the architects of the Brady bonds restructuring, hired by European banks to negotiate on their behalf. It was only when German Chancellor Merkel delivered an ultimatum by telling Dallara "this is the last offer," during a late night meeting on Oct. 27, 2011, at EU headquarters in Brussels, was an agreement reached on serious debt reduction- in Walker, Forelle, Meichtry, WSJ, 12/30/2011. Patience and remaining undeterred with SPD at 15% just months before the election helped SPD'S Scholz to win. There was also a carefully planned campaign around Scholz, unity in the SPD behind Scholz. Scholz and SPD realized that there was a major opportunity to win confidence of Germans in the pandemic aid packages for Germany and the European Union that Scholz put together. Scholz took charge chairing meetings when Merkel was in isolation. In this way he not the outgoing chancellor Merkel was seen as the architect of economic recovery from the blow of the pandemic.  Percentages are deceiving including the drop to 15% for SPD. Scholz pointed to public fatigue with the two major parties and need for change had led to shift to Greens, and other parties. By working with Greens to develop a common approach based on borrowing to invest in infrastructure and climate change Scholz realized he could both tap into skills of a younger generation that had gone to the Greens and build Germany along lines that also tackled climate change. This created a new and real option for Germany- the experience and new zeal for workers and families of the changing SPD under Esken and Scholz with the energy and zeal for tackling climate change of the Greens under Habeck and Baerbock. As a map of Germany in the NYT shows on September 28, the numbers can be deceiving. Except for Bavaria in the south most of Germany's regions including cities of Cologne, Berlin, Hamburg voted for the SPD or the Greens. Most of the map is red color of the SPD, with small densely populated pockets in cities Cologne and Berlin for Greens. Apart from Bavaria and Thuringia-Saxony, the election was won by Greens SPD by big margin. ...

Four former close advisors of U.S. president Obama in a public statement say they fear the current Iran negotiations fall short of reaching a 'good' agreement. The statement says " We fear that the current negotiations, unless concluded along the lines outlined in this paper and buttressed by a resolute regional strategy, may fall short of meeting the administration's own standard of a 'good' agreement." The advisors are Dennis Ross, David Petraeus, Gary Samore, Robert Einhorn and James Cartwright. It sets strict inspections for all sites, including Revolutionary Corps and military sites, as a precondition for any significant lifting of sanctions. The statement goes further in saying about Iran's development of a nuclear weapon: "The United States must go on record now that it is committed to using all means necessary, including military force, to prevent this." The statement was released from a study group of the Washington Institute for Near East Policy. Ayatollah Khamanei in a televised speech on June 23, 2015, stated military and Revolutionary Corps sites would not be included in snap inspections, and economic sanctions should be lifted immediately. ...

The Congressional Budget Office analysis of the Republican healthcare plan advocated by Mr. McConnell, Senate Majority leader, is that it would add 22 million uninsured if implemented. That plan ran into opposition from Republican Senators Collins, Capito, Murkowski, Paul, and Moran, and lacked enough support in the Senate. All Democrats opposed it and with the thin majority Republicans were divided. By taking away some benefits given under the existing Affordable Care Act the plan hurt the elderly and low income people, making some Republicans listen to their constituents in home districts and not the Republican leadership. The NYT profiled two in particular who astonishingly in a sign of today's strange politics were the only ones publicly holding townhall type meetings to hear the views of people in their voting districts- Susan Collins of Maine and Jerry Moran of Kansas. Both senators were listening to rural communities and Moran stated his opposition with the words- "I am a product of rural Kansas." With it the nation takes a breather and the message goes out that it is best to listen first and then to seek middle ground, not do what both parties Democrats and Republicans did in 2009 and 2017- rush serious legislation through without support across party lines and without serious discussion.   ...

Agatha Sangma, at 28, is the youngest member of Parliament in India. Se was reelected from the Tura constituency in Meghalaya,, in India's northeast. She is minister of state for rural development in the newly elected Congress coalition government. Her father PA Sangma was a speaker in the Lok Sabha, India's Parliament. In India's system the cabinet minister has the biggest chunk of work and under him comes the minister of state. But considering how big the rural economy is in India, at over 40% of GDP and growing fast from a low base, its aposition of great responsibility for ayoung woman. Here she talks to Jyoti Malhotra of the WSJ. She is responsible for drinking water and sanitation. Access to drinking water, contamination of water, and water supplies for agriculture are a huge challenge for India. Agatha has studied environmental management in the UK, so she can bring knowledge of modern methods for managing water to her job. She likes to be responsible for implementing work in the rural areas, and has the youth and energy to travel and see things first hand for implementation. She says accountability is important for implementation and out in the field she can observe and ask questions. One of the problems she shees in implementation is properly using the funds allocated. This fund alone is 62,000 crores. And seeing that these funds are properly allocated and spent to generate the best use of the resources is critical for improving lives and meeting the needs for rural development. She sees room for experimenting, for innovation and bringing fresh ideas to this job. She seems to handle the interview questions quite well....

The squeeze on consumers and consumer spending in Britain as wage growth cannot keep up with the consumer price index from 2007 to 2013. A widening gap between average wages and the consumer price index. Basic items such as potatoes, milk, butter, ham, eggs, apples, pork and other food items have gone up much faster in price compared to wages. From 2007 to 2013 basic food staples such as butter are up 99%, potatoes 148%, apples 56%, ham and eggs 50%, milk 31%, pork sausage 37%. Gasoline up 40%. The gap between average wages and the consumer price index has steadily increased since 2010 when Cameron and the Conservatives took office and the austerity measures were introduced to cut the deficit. Upto that time wages kept up with the consumer price index except for a period during the 2008 financial crisis, according to information from the UK Office of National Statistics. Government figures show wages up 1.1% for the 2nd quarter of 2013, much less than half the rate of inflation of 2.8% in July. The household saving ratio is forecast to drop from 7% in 2012 to 3.5% in 2013, and Britons are dipping into savings to pay for basics, according to the National Institute for Economic and Social Research. The House of Commons library compiled data shows average hourly wages down by 5.5% in real terms in Britain since mid-2010. Weak consumer spending hurts economic recovery and hopes of cutting the deficit. In the Bank of England's minutes for the August meeting policy makers said consumption growth cannot occur without increase in household incomes. ...

The oldest person to sail around the world alone, non-stop and unassisted is a British woman. She is 77 years old. She comes from Lymington, Hampshire in England. Jeanne Socrates ended her 320 days voyage in Victoria, Canada. This is also the second time she has done it. In 2013 she was the oldest woman to make the circumnavigation of the world. Her boat is 38 feet long called Nereida. The mainsail and backupsail sustained damage, and solar panels were lost overboard.  The wind gods she said were not with her and she had two cyclones off Hawaii to avoid, and one in the Indian Ocean to avoid. She wasted time with that. She has received a lot of support, which she says comes from people realizing and appreciating the way she persevered and overcame so many problems on the way around in different oceans, showing it can be done. Shortly after retiring she and her husband took up sailing. After her husband died in 2003 she continued sailing. She took up the daunting effort to learn all about the systems on the Nereida and dealing with a whole range of problems. Her first attempt at nonstop sailing around the world was in 2009, when rigging problems led to giving it up. Another effort four years later in 2012 also failed. She persisted and in 2013 made the successful attempt. Jeanne Socrates has overcome a number of setbacks in her career. In 2017  before she made her current effort she fell off her boat, breaking her neck and ribs as she prepared. She recovered from that fall. A look at her website shows how she has persevered over many, many years, making repeated attempts, following  up with more effort after the last one failed. That she also brings a cheerful positive attitude throughout and enjoys nature, birds, and meeting people on land during her trips from Sweden to Mauritius, to Mexico, is clear from looking at the many photographs on her website.   ...

French president Macron is skipping attending the Swiss Davos conference in 2019, as he attends to pressing problems at home. A year ago after attending Davos Macron appeared as a champion of globalization and took some risky actions in the euphoria over his win- stripping job protections at a sensitive time of rising inequality, and abolishing a decades old wealth tax. The election showed a regional and urban-rural divide in France even though Macron gained a large majority in the Assembly. The yellow vested protestors showed no particular allegiance to parties, only showing a sense of dissatisfaction with neglect of working class struggling to make a living. All that is changed now after yellow vested protestors rioted week after week over neglect of working class issues.Macron has resisted pressure to reinstate the wealth tax. He has suspended plans to increase fuel taxes and introduced 10 billion euro worth measures to boost purchasing power of working class French people, a major demand of the yellow vests. A series of town hall meetings are planned for Macron to listen to the voices he has not paid enough attention to before in his aloof style of governing. ...

Alan Mulally focussed attention on Ford brands such as the Taurus, and the Fusion, to improve quality and fuel efficiency. To do this he sold brands acquired earlier- Land Rover to Tata Motors and Volvo to Geely. Under his management Ford pushed ahead with globalized product development and building a presence in the small car market. Ford still has weakness in the European and Asian markets. In Europe a large number of manufacturers are competing for a slow growing market and price competition has cut into profits. In Asia, Ford was slow to enter the Chinese market. As a result its sales in China lag far behind VW and GM, with only 2.7% market share. Mullaly is investing $1.5 billion on new factories in China, including two assembly plants and an engine plant. One of the plants in the southern city of Chongquing will produce an SUV and a luxury car. Mulally wants to see 70% of Ford's growth in this decade from Asia. The other problem facing Mulally is reviving the Lincoln brand which has seen a sales decline of 63% since 1990. Ford has hired a designer who worked on the Cadillac to redo the Lincoln's design. Mulally plans to cut the 900 Lincoln dealers to 600, to reduce the price competition for smaller sales volume. He is asking the remaining dealers to invest $2 million for new showrooms that will compete with Lexus in their look and feel. Asessing what has been achieved at Ford so far one sees the progress in pushing up quality. Ford now ranks above Toyota in J.D. Power quality surveys with its cars getting higher resale prices than some Toyota models. Ford cars are also being well received by new car buyers with market share up for the second consecutive year. This would have been unthinkable only a few years ago. Also significant is how Ford under Mulally's direction managed to make good use of the $23 billion loan secured in 2006, avoiding bankruptcy and turning the corner to profitable operations. Ford earned $6.6 billion in 2010, after losing $30 billion from 2006 to 2008. Ford's challenges going forward are how to sustain profitable growth, manage $19.1 billion in debt and a junk-bond credit rating, and maintain the momentum without reverting to a dependence solely on SUV's and larger vehicles for profits. Chairman Bill Ford is forthright about Ford's history of wasting opportunities during the good times- of "losing the plot in the good times." Mulally makes the same assessment at a November town hall meeting of 200 employees - Ford is good at crisis managment he says but then "forgets why we're here." For Mulally a bit of inspiration from Heny Ford himself counts, this being a poster from 1925 that hangs on the office walls, a Saturday Evening Post cover with the slogan: "Opening the highways to all mankind." The Iranians are trying to reach a "zone of immunity," the way Pakistan and N. Korea did, and it will take a resolute determination on the part of the U.S. the Europeans, the Russians and the Chinese to prevent a nuclear Iran and nuclear proliferation. By the third meeting in Moscow it should be clear whether the Iranians are willing to give up capabilities that lead to nuclear weapons. Ayatollah Khamanei is the person in charge in Iran, but decisions are made collectively with the moderate Ayatollahs still ayatollahs, says Barak. The addition of the Khadima party to the coalition government of prime minister Netanyahu increases Israel's desire for dialogue and seeking progress on a peace with the Palestinian Authority- if not a peace arrangement then even unilateral steps towards peace by both sides. The way forward in Syria is for the U.S. to talk with the Russians about a new government. The important thing is for the removal of the Assad family, the entire Syrian state does not need to be dismantled as happened with the Baath party in Iraq. Israel continues to build a fence in the Sinai facing Egypt, as it fears infiltration during the period of civil strife in Egypt. Israel views Egypt from the standpoint of any future Egyptian government honoring its treaty committments with Israel, otherwise says Barak it is upto Egypt to decide its future government....

In the meeting in the Oval Office Biden and Modi had this to say about India US relations. Modi called it a "transformative" decade. Mr. Biden called it a "new chapter" in ties, taking on tough challenges in coronavirus vaccines for the rest of Asia outside India and China, tackling climate change, and ensuring rule of law in the Indo-Pacific region.  Biden's view- "I think that the relationship between India and the US, two of the largest democracies in the world, is destined to be stronger, closer, tighter, and I think it can benefit the whole world." A look at the US under the Biden administration shows a US that is very different from that of the US in the period of presidents since Harry Truman when he met Jawaharlal Nehru at the White House in October 1949. Biden sees the US needing renewal of its infrastructure, reviving worker incomes and families, regaining its leadership of the free world, for its role and place in the world. Throughout the period 1949 to 2020 for 70 years India was never seen as a modernizing nation of 1.2 billion people. For most of this period it lacked the good governance and speedy implementation of modernization of economy that is essential for a truly good relationship. By releasing the potential of the younger generation in a country where people under 35 years form the major part of the population, with good governance and development agenda, the Indian prime minister has changed the entire dynamics of the India US relationship. This is happening in the way China had done in its relationship with the US after 2000 by modernizing the country. India is now the country with huge potential and the country the US sees as helping it build its own role and place in the world. The sheer size of India and its population with countries around it in the east such as Bangladesh, Indonesia, Malaysia and Vietnam with shared values in south and southeast Asia bring together a population of close to 2 billion people much larger than China, to determine the direction of Asia.  This is the new chapter that president Biden has in mind, and it is also the "transformative decade" in the eyes of prime minister Modi as India finally puts behind it years of bad governance, and speeds up modernizing its economy.   ...

WSJ report shows that on the morning of the 90 Day Pause in Tariffs announcement discussions took place with the Swiss prime minister, with Treasury Secretary Scott Bessent, and watching Fox News interview of JP Morgan Chase's Jamie Dimon. Seeing the turmoil in financial markets and bond markets, US president DJT made the decision to give time to make the agreements with about 50 countries, and time for financial markets to understand the president's  policy and goals to reformulate the world trading system into one that offers a level playing field. The chart showing the Tariffs of 67% by China and US 34% imposed tariff in the Rose Garden on April 2, 2025, was say reports the result of the influence on the president of the advice of Peter Navarro.  Treasury Secretary Scott Bessent's expertise is in financial markets as a protege of Soros, Navarro's is world trade. Bessent stepped in when financial markets appeared to reflect the uncertainty and convinced the president that the 90 day pause would be the best way to implement the policy on trade. There is a vigorous debate in the administration about how to get a level playing field for trade, and get the job done without disruptions in financial markets or a recession induced by uncertainty. On April 10 as part of the effort to talk to the American people US president DJT opened up his Cabinet meeting to the media and had Bessent, Borghum, RFK Jr and Marco Rubio talk about their plans and policies. Proper implementation, gaining confidence of the people of America and financial markets, is now as important as the goals and policies in the next 90 days. Getting the trade deals with the European Union, Japan, South Korea, Taiwan, Britain and India would go a long way to reassure financial markets and set the right tone for the future.   ...

The effort to shift China's economc growth away from the rampant overbuilding in housing and industrial capacity of the past to domestic consumption, and focus on meeting the demand for better medical care, quality of food, education and other quality of life products. China's leaders met at the Central Economic Work Conference in Beijing in Dec. 2015 to work out ways to make this shift so that growth rate of 6.5% and other goals can be met. Plans include reducing industrial overcapacity, dealing with overinvestment and unused inventory in housing, reducing financial risks from high corporate debt to GDP ratio approaching 160% estimated by Standard and Poors Ratings Services. By comparison the U.S. debt to GDP ratio is 70%. A steep rise resulted from the huge China stimulus program of 2008-2009, when the ratio was 98% for China. Experts such as Derek Scissors of the American Enterprise Institute are pessimistic about the prospects of successfully implementing reforms, saying reducing industrial overcapacity was a goal of the new Jinping Li-Keqiang leadership in 2013, but not much progress has been made in 2 years....

The Senate hearings in the U.S. and a meeting of EU leaders has raised concern about this practice being allowed at a time when much needed infrastructure investments are being shelved in the U.S. and Europe because of budget deficits. Spending cuts in education and in R&D hurt long term economic growth. Government statistics show the average Ireland tax rate on gross income of companies in 2010 was 6%. Ireland has a low corporate tax rate for companies of 12.5% which it retained after EU pressures to change the rate when the Irish bailout was provided. Ireland has 4000 Apple workers, and 600 American companies employ 100,000 Irish workers....

Contrary to earlier media reports of Mr Naimi the Saudi oil minister saying that the market was healthy and "well balanced" and that no cuts were expected, it turns out that after extensive debate the OPEC ministers agreed on a cut of 520,000 barrels a day or less than 1% of the world's oil supply. It would put OPEC production back to 32.7 million barrels a day same as the first 3 months of 2008. This was done to avert excess supply in the market but Algeria's oil minister said that this would not affect the downward trend in prices as buyer nations in USA and Europe had already built up supply inventories from weaker demand. Iran, Libya and Algeria argued that there was a supply glut or imbalance from reduced demand. OPEC President is Chakib Khelil of Algeria. Russia's top energy ministers and head of Roseft attended ths OPEC meeting. Sechin head of Rosneft Russia's largest oil company run by the government said tht Russia is preparing a memorandum of understanding for deeened cooperation with OPEC. At tis point OPEC supplie 40% of the world's energy, Russia supplies another 11%. ...

This editorial in the Economist magazine says the banks have paid large fines for wrongdoing but individual accountability has not been achieved. Only one individual conviction has been achieved related to market rigging in Britain. The penalties paid by banks between 2009 to 2014 worldwide add up to $245 billion, according to CCP, a research group. The problem says the editorial is that without individual accountability this is likely to be seen just as a cost of doing business. For the culture at banks to change individual acountability has to be established, and only now are banking regulators realizing that the public's disillusionment with the political parties in power during the last decade in Europe and the U.S. has its roots also in the way accountability has been tackled. Editorials in the WSJ and the NYT have addressed the same theme and expressed the same concern. The May 21, 2014 editorial on the U.S. Justice Department's legal settlement with Credit Suisse. "Holder convicts Switzerland," was critical of the Justice Department because this settlement did not bring accountability or justice. Columnists Eavis and Reilly in the WSJ, Protess and Greenberg in the NYT, were also critical of the settlement. Other legal settlements followed the same pattern throughout 2012-2015. Another aspect of this and a larger problem is that the same management has remained in place in some places. Shareholders expressed their feelings at the recent Deutsche Bank meeting in June 2015 when one shareholder association asked the question: "Mr. Jain are you the solution to the problem or part of it?" questioning how the same management that created the problems was going to fix the problems. A week later the two co-CEO's departure was announced and a new CEO appointed. BaFin, Germany's regulatory authority was described as not providing effective oversight on management at Deutsche Bank, by Eyk Henning in the WSJ March 28, 2014. It is too early to say if the public's frustration with the slow pace of establishing accountability and generating culture change is at long last registering with regulators and the political parties running the government. Prime minister Cameron and chancellor George Osborne's decision to put $1 billion into communities throughout Britain from the fines, described in the WSJ May 31, 2015, and an additional $227 million pounds from a legal settlement with Deutsche Bank in April 2015 for creating 50,000 apprenticeships, is the first sign of a conviction developing in political parties that instincts of fairness and the compact between the people and their government handed down over many, many years and generations, need to be respected. In the U.S. communities devastated by the recession and foreclosure crisis, especially inner cities, could benefit from Cameron and Osborne's exceptional idea. For the political parties and the political elites in Europe and the U.S. it is a way to restore some of the trust lost in the last decade. For banks a change of management, cultural change, will benefit the employees and shareholders, and improve relationships with customers, restoring trust over the next decade....

How Lehman Brothers CEO underestimated the situation facing his firm and failed to realize the true extent of the economic environment that the country is facing. He did not move fast enough for the speed with things deteriorate in this new environment which is nothing like the environment they faced before. In the end he held out for a better deal when he was negotiating with potential partners till the other side walked away. As a trader who led the firm for 14 years he was used to snap decisions so when he negotiated with Korea Development Bank and things were difficult he grew frustrated according to the Wall Street Journal and threw up his arms and the meeting ended. After the two sides parted subsequent talks faltered. At that August meeting the Korea bank proposed to invest $4 billion to $6 billion into Lehman and on the other side the CEO of Korea Development Bank had once been the head of Lehman Brothers in South Korea. The Journal report says that the Koreans felt their approach was realistic and were prepared to move forward but that Mr. Fuld was holding out for a better deal. The Koreans would have received a large stake in the firm. But not reaching the deal in the negotiation with the Koreans in June and then again in August and not marking down the firm's large holdings of real estate to reflect new conditions, and relying too much on the access to capital from the Fed, may all prove to be the undoing of Lehman because its stock has dropped precipitiously in the last few days losing more than 40% of it value in one day and then continuing down a slippery slope. U.S. House Speaker Paul Ryan, wins by 84% to his challenger's 16% of the vote in the Republican primary for his House seat of Janesville, Wisconsin. The challenger Nehlen, an executive at a water filtration company, adopted many of Trump's positions including building a wall and had the support of the group Tea Party Patriots. Trump lost to Ted Cruz in Wisconsin and lost in the 1st congressional district covering Janesville by 19 percentage points. Janesville, is a former industrial working class town that has lost many factory jobs over the years, and this election shows the trade issue is not the only issue on people's minds when they vote. That it is easy for a candidate to use it as wedge even when they do not mean what they say by outsourcing themselves, or have few real solutions- especially as public opinion in both parties is opposed to a shift of jobs overseas for the last decade. Ryan said about his win- "I'm a local guy, people know who I am, they know what I believe in and they know I mean what I say and I say what I mean and I don't do it in a mean way." Some Republican experts say Ryan's job of winning his seat very easily, protecting the congressional majority of Republicans, and dealing with Trump as the nominee, is the hardest job in politics. ...

In 2018 China, India, and America are Africa's largest trading partners. India is building 18 new embassies in African countries. Greater openness to trade and investment is leading to GDP growth in Africa, 40% higher than in 2000, which is still low by comparison with Asian countries. The Economist says African countries can benefit by drawing investment from all sides and all countries, so that Africa benefits the most. Chinese investment, and Indian investment can happen side by side with investment from America, Britain and France.

How the shorter workweek is being tried at places such as Microsoft Japan, Toyota Gothenburg, Australian software company Icelab, and South Korean e-commerce company Woowa Brothers, with good results. Results include better collaboration, setting priorities effectively, and mutual respect for time. Workers get time to think, gain new perspectives, gather new ideas, and recover from weekly pressures. This WSJ reporter looked at over one hundred companies and found that if  done right it can improve company profitability and productivity. In a 4 week trial Microsoft Japan improved productivity by 40%. Alex Pang shows how this is being done in a new book - "Shorter: Work Better, Smarter and Less- Here's How." One way the shorter workweek works is by making everyone think what was not working during hectic work weeks without desired results, more work just adding to pressure and not producing results. For instance meetings had to be shorter and confined to certain hours only. Distractions had to be cut down effectively. Even soft music could help people concentrate. Building a new culture also helps bring people closer and find ways to work more effectively than in the past. The reinvigoration and ability to recover from pressures works wonders say experts and brings a new level of concentration, motivation and effectiveness. It is interesting to note that some of the pioneering effort in this area is coming from Japan and South Korea where long hours were tried and people began to realize that this approach to better results had serious drawbacks, and there had to be better ways.    ...

The last days and the last hours for Wachovia, as Robert Steel- formerly at the Treasury, who became CEO at Wachovia in July 2008- tried to save Wachovia as its share price plummeted. The immediate cause of the crisis was an imminent downgrade of ratings of Wachovia by the credit ratings agencies just as as the bank had billions of dollars in debt coming due this week, and the collapse of WaMu that created crisis conditions for Wachovia with its large holdings of so called toxic assets. Steel tried to negotiate a deal with Wells Fargo's Kovacevich, who initially offered a price in the tens of billions (about $20 billion), and said he could do it on his own without FDIC help. Then on the last day he backed off saying he had concerns for some of Wachovia loan portfolios. At this point Fed, FDIC and Treasury officials were huddled together in meetings to figure out what should be done. Steel was in conversations with Citigroup's Pandit at this point, and FDIC offered to guarantee losses on bad loan portfolios of Wachovia above $42 billion, in exchange Citi would give the FDIC warrants on Citi stock and preferred shares worth $12 billion as an insurance payment. The price at which Citigroup acquired Wachovia at this point was nearly $2 billion. One thing remained. What about the bondholders. WaMu's bondholders were wiped out, so this time Treasury did not want to rattle the credit markets further. It needed someone to shoulder Wachovia's $54 billion debt, which Citigroup at this point agreed to do. Citi gets a large number of Wachovia branches and depositors with this deal, combining the $393 billion of deposits of Wachovia with its $208 billion in deposits, making it the 3rd largest bank in the USA in terms of deposits after Bank of America and Chase.
