Time Inc. publishes about 80 print magazines, including Time, People, and Sports Illustrated. CEO Joe Ripp says Time Inc. was slow to respond to the digital transformation of media, and revenue is declining for several years. In 2014 Time Inc. ad revenue from digital ads was only 17%. Unlike Meredith Corp. and other companies which have television stations, or cable-television systems which can support its business, Time has little in the way of support, and could be broken up if the transformation into digital fails. One of Ripp's recent risky moves not followed by other media companies is merging the media content side with the advertising side in native advertising. Sorkin discusses the speech made by Hillary Clinton at NYU's Stern School of Business on her capital gains tax plan to encourage long term investing by giving the current tax break of 23.8% tax on capital gains for the highest tax bracket only in year 6 following the investment. Black Rock CEO Fink is one of the supporters of delaying the current capital gains tax - his proposal was to treat capital gains favorably only after 3 years, and then decrease the tax rate on a sliding scale for each year following. Sorkin says the Clinton and Fink proposals come at a time when a useful discussion can take place on this issue to provide the right kind of incentives to investors, CEO's and their boards of directors. Hillary Clinton was clear about her proposal's intent- to support "outside investors who want ot build companies," and to disincentivize "cut-and-run shareholders."

Tsuneo Kita, is the leader of Japan's largest business daily newspaper, the Nikkei. Kita had stated his dream of buying the Financial Times, Britain's largest business newspaper, many years back. He made the best offer of $1.32 billion in cash for the paper to complete the acquisition. Because of ties between the two newspapers and reporting by FT carried in the Nikkei newspaper, FT Group decided to give Nikkei Inc first rights to bid for the paper. The Nikkei is not publicly listed, and a large part of its shares owned by employees. Print still works in Japan and the morning edition has 3 million subscribers. Kita moved to build the digital business early along with efforts at the FT and the Wall Street Journal. A paid website was started in 2010 for the Nikkei and it has 430,000 online subscribers. Kita is a journalist who joined Nikkei Inc. straight out of Keio University in 1971. He was senior editor in New York and Tokyo. Nikkei Inc. was able to make the acquisiton because of its financial strength. It has $830 million in cash on hand and a similiar amount of liquid assets. Profits are modest- 10 billion yen in profit on 301 billion yen revenue in 2014. Kita says he will keep the FT Bureaus intact and not merge them with Nikkei Inc. bureaus. He wants to preserve the editorial independence of the Financial Times, and sees the paper as part of a publishing group covering a broader region of Europe, the U.S. and Asia....

A food scare for Danone's Dumex baby formula brand in China hurt sales. Danone has decided to swap the Dumex brand for additional stake in China's dairy company Mengniu, for a 12% stake in the company. Danone will focus on ecommerce business in China which has grown rapidly to about 461 million consumers as more baby food products are sold online. About 7% of total sales are from China for Danone. Danone has also decided it will keep the medical nutrition business line because of better future prospects. Earlier Danone sold off its majority stake in a joint venture with Wahaha in China. Business decisions at Danone are made by two executives Mr. Ribaud and Mr. Faber, the CEO. Fresh dairy unit of Danone faces several challenges, including rising price of milk, and margins dropping from 15% in 2010 to 10% in 2014. Fresh Dairy generates over 50% of revenues.

Teva Pharmaceutical plans to acquire the generic drug business of Allergan in 2015. Teva's sales of generics were $9.1 billion in 2014, according to EvaluatePharma, over 50% of its total sales, and 12% of global market. Alergan had $6.6 billion in generic sales in 2014. Allergan's strategy is to move up the market to branded drugs because of price competition from India in generic drugs. Teva's strategy is to increase the size of its generic business to better tackle pricing issues.
